1. Who we are
Agentbill Technologies Limited ("we", "us", "our"), a company registered in England and Wales under company number 16827332, registered office at 167-169 Great Portland Street, 5th Floor, London W1W 5PF, United Kingdom, operates SMS System (the "Service"), a software platform that helps UK sponsor licence holders organise and track information relevant to their sponsor duties.
2. What the Service is — and is not
2.1 The Service helps you record, track, and organise information related to your duties as a UK sponsor licence holder, including but not limited to: Certificate of Sponsorship records, right-to-work evidence tracking, salary and SOC code compliance checks, expiry alerts, reportable change logging, payslip reconciliation, and audit-ready evidence packs.
2.2 The Service is a record-keeping and organisational tool. It is not legal advice, immigration advice, or a substitute for professional advice from a solicitor or an OISC/IAA-regulated immigration adviser. Nothing in the Service constitutes legal advice, and no part of the Service should be relied upon as a guarantee of compliance with UK immigration law or sponsor licence conditions.
2.3 You remain solely responsible for your duties as a licensed sponsor under the Home Office's sponsor licence guidance, including but not limited to: reporting changes to the Sponsor Management System (SMS) within the required deadlines, conducting right-to-work checks, and maintaining records in accordance with Appendix D and related Home Office guidance. The Service helps you organise this work; it does not perform it on your behalf, file anything with the Home Office, or guarantee any outcome with UKVI.
2.4 Compliance thresholds, salary bands, and guidance referenced within the Service (including SOC code going rates and Appendix D record-keeping categories) are sourced from publicly published Home Office and gov.uk guidance current as of the date shown within the Service. This guidance changes periodically. You are responsible for independently verifying current requirements before relying on any figure or threshold shown in the Service for a decision with legal or financial consequences.
3. Accounts and access
3.1 You must register for an account to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
3.2 The Service supports multiple user roles within an organisation (owner, HR manager, employee). Each organisation ("tenant") using the Service is responsible for managing who holds which role within their account and for ensuring access is granted only to appropriate personnel.
3.3 We may suspend or terminate access to the Service if we reasonably believe these Terms have been breached, if required by law, or if continued provision of the Service would expose us to legal or regulatory risk.
4. Your data and your responsibilities
4.1 You are responsible for the accuracy of information you input into the Service, including data extracted automatically from uploaded documents (such as Certificates of Sponsorship) via AI-assisted extraction. Automated extraction is provided as a convenience; you must review and confirm extracted data before relying on it, as errors in source documents or extraction may occur.
4.2 Where the Service processes personal data of your employees or sponsored workers on your behalf (including immigration status, salary, and right-to-work documentation), you act as the data controller for that data and we act as a data processor, as set out in our Privacy Policy. You are responsible for ensuring you have a lawful basis to process this data and, where applicable, that affected individuals have been informed in accordance with UK data protection law.
4.3 You must not use the Service to store or process data you are not lawfully entitled to hold, or for any purpose other than managing your own organisation's sponsor compliance obligations.
5. Fees and billing
5.1 Subscription fees are £39.99 per month plus £5 per sponsored employee per month, billed monthly in advance.
5.2 Your subscription tier is determined by your number of active employees as defined in your subscription plan. Active employees are those with a current record in the Service, excluding archived records and vacancy placeholders.
5.3 Fees are non-refundable except as required by law or as otherwise stated at the point of purchase.
5.4 We may change our fees with 30 days' notice. Continued use of the Service after a fee change takes effect constitutes acceptance of the new fee.
6. Limitation of liability
6.1 To the maximum extent permitted by law, the Service is provided "as is" and we make no warranty that it will be error-free, uninterrupted, or that it will prevent any compliance failure, licence suspension, or licence revocation.
6.2 Subject to applicable law, our total liability to you arising out of or in connection with the Service shall not exceed the total fees paid by you in the 12 months preceding the claim.
6.3 We are not liable for any indirect, consequential, or special losses, including but not limited to loss of profit, loss of business, or loss arising from licence suspension or revocation, to the extent such losses arise from your own failure to act on information provided by the Service or to comply with your sponsor duties.
6.4 Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded under UK law.
7. Intellectual property
7.1 We retain all rights in the Service, including its software, design, and underlying technology. You retain all rights in the data you input into the Service.
7.2 You grant us a licence to process your data solely for the purpose of providing the Service to you.
8. Termination
8.1 Either party may terminate the agreement in accordance with the notice period set out in your subscription plan.
8.2 On termination, you may export your data for a period of 30 days, after which we may delete it in accordance with our data retention policy, subject to any legal obligation to retain certain records for longer.
9. Changes to these Terms
We may update these Terms from time to time. Material changes will be notified to you by email or in-app notice. Continued use of the Service after changes take effect constitutes acceptance.
10. Governing law
These Terms are governed by the laws of England and Wales, and any disputes are subject to the exclusive jurisdiction of the courts of England and Wales.
